Institution Terms of Service

1. Definitions
- • "Institution" refers to the school, college, coaching centre, or educational body that subscribes to VAssess
- • "Institution Admin" refers to the authorized representative who manages the institution's VAssess account
- • "Institution Teacher" refers to educators added by the Institution Admin
- • "Institution Student" refers to students enrolled by the Institution Admin
- • "Platform" refers to the VAssess web application and associated services
2. Institution Registration and Verification
- • Only authorized representatives of the institution may register an institutional account
- • The institution must provide accurate details including institution name, type, board/university affiliation, and contact information
- • Virora International Private Limited reserves the right to verify institution credentials and reject fraudulent registrations
- • The Institution Admin is responsible for all activities performed under the institution's account
3. Subscription and Licensing
3.1 License Grant
Upon subscription, the institution receives a non-exclusive, non-transferable license to use the VAssess platform for the subscribed number of students and duration.
3.2 Student Limits
- • The institution may enroll students up to the licensed limit of their subscription plan
- • Exceeding the student limit requires a plan upgrade or additional licensing
- • Student accounts are tied to the institution and cannot be transferred to another institution
3.3 Pricing and Payment
- • All prices are in Indian Rupees (INR) and exclusive of GST (18%)
- • Payment terms are as agreed in the subscription agreement or invoice
- • Late payments may result in temporary suspension of services
- • Annual subscriptions are non-refundable after 30 days from activation
4. Institution Admin Responsibilities
- • Ensure all student and teacher data entered into the platform is accurate
- • Obtain necessary consent from parents/guardians for students under 18 years of age, as required under the DPDPA 2023
- • Manage teacher and student accounts responsibly, including timely deactivation of users who leave the institution
- • Ensure that platform access credentials are not shared with unauthorized persons
- • Configure proctoring settings appropriately and inform students before proctored assessments
- • Comply with all applicable Indian laws including the Right to Education Act, 2009 and IT Act, 2000
5. Teacher Responsibilities
- • Teachers may create, assign, and manage tests within the scope authorized by the Institution Admin
- • Teachers must not share student performance data with unauthorized third parties
- • Teachers are responsible for the accuracy and appropriateness of any custom tests they create
- • Teachers must use student data solely for educational purposes
6. Student Data and Privacy
- • Student data (names, scores, progress) is visible to the Institution Admin and assigned Teachers
- • The institution acts as a joint data fiduciary along with Virora International Private Limited for student data
- • The institution must inform parents/guardians about the data being collected and processed on the platform
- • Upon termination of the subscription, student data will be retained for 90 days before deletion
- • The institution may request a data export before subscription expiry
7. Intellectual Property
- • All VAssess platform content (questions, software, UI, branding) remains the intellectual property of Virora International Private Limited
- • The institution may not reproduce, distribute, or commercially exploit any platform content
- • Custom tests created by teachers on the platform are jointly owned by the institution and VAssess
- • The institution grants VAssess a non-exclusive license to use anonymized performance data for platform improvement
8. Service Level
- • VAssess targets 99.9% platform uptime
- • Scheduled maintenance will be communicated at least 24 hours in advance
- • Priority support is available for institutional subscribers via email and in-app tickets
- • VAssess does not guarantee uninterrupted service and is not liable for losses due to service interruptions
9. Termination
- • Either party may terminate the subscription with 30 days written notice
- • VAssess may terminate immediately if the institution violates these terms or engages in illegal activities
- • Upon termination, the institution's access and all associated student/teacher accounts will be deactivated
- • The institution may request data export within 30 days of termination
- • Refunds for early termination are at the sole discretion of Virora International Private Limited
10. Limitation of Liability
Virora International Private Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from the institution's use of the platform. The total liability of Virora International Private Limited shall not exceed the subscription fees paid by the institution in the 12 months preceding the claim.
11. Governing Law and Dispute Resolution
These terms are governed by the laws of India. Any disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Warangal, Telangana. The language of arbitration shall be English.
Courts in Warangal, Telangana shall have exclusive jurisdiction over any matters not subject to arbitration.

By registering an institutional account on VAssess, the authorized representative confirms that they have the authority to bind the institution to these terms and that the institution agrees to comply with all provisions herein.
