Content Team Terms of Service

For Content Creators and Content Approvers

1. Definitions

  • "Content Creator" refers to individuals authorized to create educational content (questions, explanations, study materials) on the VAssess platform
  • "Content Approver" refers to individuals authorized to review, verify, and approve content created by Content Creators before it is published on the platform
  • "Content" refers to all questions, answers, explanations, images, and related educational material created or approved on the platform
  • "Company" refers to Virora International Private Limited, the entity operating VAssess

2. Engagement and Access

  • Content team members are granted access to the platform based on their role (Creator or Approver) as assigned by the SuperAdmin
  • Access credentials are personal and non-transferable
  • Content team members may be engaged as employees, contractors, or freelancers as per separate engagement agreements
  • The Company reserves the right to revoke access at any time with or without cause

3. Content Creation Standards

All content created on the VAssess platform must adhere to the following standards:

3.1 Accuracy and Quality

  • All questions and answers must be factually accurate and educationally sound
  • Content must align with the specified exam pattern, syllabus, and difficulty level
  • Explanations must be clear, complete, and helpful to students
  • Content must be free from grammatical errors and formatting issues

3.2 Originality

  • All content must be original or properly attributed and licensed
  • Copying questions verbatim from copyrighted sources (textbooks, other platforms, coaching materials) without authorization is strictly prohibited
  • Using publicly available past exam papers is permitted with proper categorization

3.3 Prohibited Content

  • Content that is offensive, discriminatory, or inappropriate for educational purposes
  • Content that promotes hatred, violence, or illegal activities
  • Content that infringes on any third-party intellectual property rights
  • Content containing malicious code, hidden links, or spam
  • Content that promotes third-party products, services, or coaching centres

4. Content Approval Standards

Content Approvers are responsible for verifying content before it goes live on the platform:

  • Verify factual accuracy of questions, answers, and explanations
  • Confirm correct categorization (subject, chapter, topic, difficulty level, Cognitive Domain level)
  • Check for plagiarism and copyright infringement
  • Ensure content meets quality standards and is free from errors
  • Reject content that does not meet standards with clear feedback to the creator
  • Approving content constitutes the Approver's certification that they have verified the content and it meets all standards

5. Personal Liability for Content

THIS IS A CRITICAL SECTION — PLEASE READ CAREFULLY

5.1 Content Creator Liability

Content Creators are personally responsible and liable for all content they create on the platform. This includes but is not limited to:

  • Copyright Infringement: If content is found to infringe on third-party intellectual property rights, the Content Creator shall be personally liable for all damages, penalties, and legal costs arising from such infringement
  • Factual Inaccuracy: If incorrect content causes harm to students (e.g., wrong answers leading to incorrect exam preparation), the Content Creator may be held liable for negligence
  • Inappropriate Content: If content is found to be offensive, discriminatory, or harmful, the Content Creator shall bear full responsibility
  • Plagiarism: Content Creators warrant that all content is original or properly licensed, and shall indemnify the Company against any plagiarism claims

5.2 Content Approver Liability

Content Approvers share responsibility for content they approve. By approving content, the Approver certifies that:

  • They have reviewed the content for accuracy, originality, and appropriateness
  • The content does not infringe on any third-party rights to the best of their knowledge
  • The content meets the quality standards outlined in Section 3

If approved content is later found to be infringing, inaccurate, or inappropriate, the Content Approver may be held jointly liable along with the Content Creator for:

  • Any legal claims, damages, or penalties arising from the content
  • Costs of defending against third-party claims
  • Any regulatory fines or sanctions imposed on the Company due to the content

5.3 Joint and Several Liability

Where both a Content Creator and Content Approver are found liable for a content-related issue, their liability shall be joint and several. The Company may seek recovery from either or both parties for the full amount of damages, costs, and expenses incurred.

6. Indemnification

Content Creators and Content Approvers agree to indemnify, defend, and hold harmless Virora International Private Limited, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Content created or approved by them on the VAssess platform
  • Any breach of intellectual property rights, including copyright and trademark infringement
  • Any claims of defamation, obscenity, or harm arising from the content
  • Any violation of applicable laws, including the Copyright Act, 1957 and the Information Technology Act, 2000
  • Any regulatory action taken against the Company due to the content

This indemnification obligation survives the termination of the engagement with the Company.

7. Intellectual Property Assignment

  • All content created on the VAssess platform is the exclusive intellectual property of Virora International Private Limited
  • Content Creators hereby assign all rights, title, and interest in the content to the Company
  • Content Creators waive all moral rights in the content to the extent permitted by law
  • Content team members may not reuse, republish, or claim ownership of content created on the platform

8. Confidentiality

  • Content team members must maintain strict confidentiality of all platform content, including unpublished questions
  • Sharing questions, answers, or test content outside the platform is strictly prohibited
  • Leaking content to students, coaching centres, or competitors constitutes a serious breach and may result in legal action
  • Confidentiality obligations survive the termination of the engagement

9. Termination and Consequences

  • The Company may terminate a content team member's access immediately for breach of these terms
  • Upon termination, all access to the platform will be revoked
  • Content already created and approved remains the property of the Company
  • Liability and indemnification obligations survive termination
  • In cases of serious breach (e.g., content leaking, plagiarism), the Company may pursue legal action including claims for damages under Indian civil and criminal law

10. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Warangal, Telangana, India. For matters involving intellectual property infringement, the Company may seek injunctive relief in any court of competent jurisdiction.

By accepting the Content Creator or Content Approver role on VAssess, you acknowledge that you have read, understood, and agree to be bound by these terms, including the personal liability and indemnification provisions. You understand that you are personally responsible for the content you create or approve, and that any legal issues arising from such content may result in personal liability.
